Experience
Jonathan’s recent experience includes:
- Lead attorney on sale side of $100 Million M&A transaction in the technology sector;
- Lead attorney in transactions to finance $180 Million in digital projectors for largest two theatre chain owners in Korea, $90 Million for independent theatre owners in Australia and $700 Million for independent theatre owners in the United States; including output agreements with each major U.S. studio that included the payment of “virtual print fees” for a limited period until recoupment of financing costs;
- Commercial attorney for SaaS company providing advertising agencies with all back-end support for the production of content worldwide;
- Lead in-house attorney overseeing stock purchase of $30 Million media company, including limited license of major brand and key employee employment agreements;
- Lead attorney in $500 Million worth of transactions with major U.S. and foreign television channel distributors for distribution of multiple television networks;
- Lead in-house attorney in the restructuring of $200 Million in existing debt and other contractual commitments;
- Lead attorney in negotiating software development and implementation for international media companies in their expansion into online distribution and social gaming;
- Lead attorney in the acquisition of software and additional IP for new venture-backed entities; and
- Extensive experience as in-house attorney overseeing multi-attorney department in all areas including employment matters, real estate, litigation management, general corporate advice and corporate governance.
