Experience

Taylah’s recent experience includes:

  • negotiating and advising on multiple private M&A deals for Banyan Software Australia with an aggregate value of more than $250 million;
  • advising 5G Networks Ltd on its market takeover of ASX listed company AUCyber Ltd ($25 million);
  • reviewing, drafting and advising on various clients’ commercial terms and conditions, with particular attention to the unfair contract terms regime under the Australian Consumer Law;
  • advising on the financial assistance / whitewash provisions under the Corporations Act 2001 (Cth);advising on and drafting the necessary documentation relating to a client’s Australian Financial Services (AFS) Licence application. The client required an AFS Licence to provide custodial services in relation to digital assets involving financial products;
  • advising clients in relation to a dispute between them and fellow directors of a company; in particular, advising them as to their rights in accordance with the relevant shareholders agreement and the Corporations Act 2001 (Cth);
  • advising on, drafting and negotiating a syndicated facility agreement, note issue deed, and related loan and transaction documents in connection with multiple facilities valued at an aggregate of approximately $700 million;
  • advising, drafting and negotiating a note facility agreement in connection with a construction project valued at approximately $40 million; and
  • drafting and negotiating security documents, including general and specific security deeds and attending to relevant PPSR registrations in connection with security interests granted pursuant to those documents.

Pro Bono and Community Work

Taylah was involved in the largely pro bono landmark case of Kaplan v State of Victoria (No 8) [2023] FCA 1092. The case concerned matters of human rights violations and racial discrimination, garnering significant media coverage and public interest, both in Australia and internationally.
