Clara currently works in mergers and acquisitions (M&A), capital markets and corporate governance.

She has expertise in M&A transactions for both ASX listed companies and private companies, and in capital transactions including equity capital raising, hybrids (convertible notes and preference shares) and regulated issues of financial products.

In addition, Clara has experience in dealing with ASX and ASIC, and in preparing and lodging regulated offer documents including prospectuses and PDSs. Her experience covers foreign investment in Australia and FIRB regulation of foreign investment.

The various contracts and agreements that Clara handles on a day to day basis include:

Experience

  • An ASX listed telecommunications company on its IPO and subsequent string of acquisitions of IT businesses

  • Overseas investors in the acquisition of a majority stake in an ASX listed investment company, including due diligence, Chapter 6 (of the Corporations Act) advice, preparing various documents and undertaking negotiations

  • Various small to mid-cap ASX listed companies on their secondary capital raisings including placements, option issues, rights issues and bonus issues

  • Foreign entities in acquiring large cattle farms and feedlots, including due diligence, document preparation, negotiations and FIRB advice

  • Numerous clients on corporate structures, corporate governance, directors’ duties and Corporations Act implications

  • On various private M&A transactions – deal size ranges from $2m to $50m, including document preparation (term sheets, share sale agreements, business and assets sale agreements), due diligence and negotiations

  • On the reconstruction of several group companies

  • On establishing employee incentive schemes for ASX listed companies and several large private companies

  • On structure, and negotiating and preparing documents for various property joint ventures with a value between $8m to $80m.
